- Tax Deferral and the Delaware Statutory Trust

The use of a Delaware Statutory Trust (DST) in a like-kind exchange has become more common since the issuance of Revenue Ruling 2004-86. However, the tax issues go beyond the guidance in the Revenue Ruling. They become especially complex when there is acquisition financing and when the sponsor uses bridge financing to acquire the property. This session discusses both the requirements of Revenue Ruling 2004-86 and the collateral tax issues to be considered in the DST structure. Examine how a self-created DST can be used to address “drop and swap” situations.

Alex Brosseau, Senior Manager

Alex Brosseau is a Senior Manager in Deloitte Tax LLP's Washington National Tax office, where he serves as a trusted advisor on U.S. tax policy developments. In this role, Alex keeps Deloitte and its clients ahead of the curve, translating enacted and potential legislative changes into actionable insights that shape business strategy and compliance. Before joining Deloitte's tax policy team, Alex made his mark on Capitol Hill as Senior Analyst for Tax Policy with the U.S. Senate Budget Committee from 2012 to 2015. As the committee's lead tax and revenue adviser, he counseled two influential chairpersons - Senator Patty Murray and Senator Kent Conrad - on all manner of tax policy issues.  At this time, Alex also became steeped in the intricate and arcane rules of budget reconciliation - a filibuster-proof process leveraged with increasing frequency to move sweeping tax and spending bills.  Alex's career began in client service at Deloitte Tax LLP, where he focused on clients in the financial services and real estate industries. His hands-on experience with complex tax issues laid the foundation for his later work in policy. A Certified Public Accountant (CPA), Alex holds a Master of Science in Taxation from American University in Washington, DC, and a Bachelor of Arts in Accounting and Economics from the University of Saint Thomas in Saint Paul, Minnesota. Alex is known for his ability to bridge technical expertise with policy strategy, making him a sought-after resource for clients and colleagues navigating the fast-moving world of tax legislation.

Edward Hannon, Shareholder, Tax Vice Chair

Edward J. Hannon, attorney and certified public accountant, concentrates his practice on providing advice and counsel to clients on the use of various tax-savings structures in a variety of real estate matters. Ed has worked with clients in providing advice on tax-driven structures involving real estate located throughout the United States. His practice ranges from joint ventures for real estate development projects to projects that include investment in U.S. real estate by foreign investors and tax-exempt entities. He has an in-depth understanding of regulations, including Section 1031 of the internal Revenue Code and Delaware Statutory Trusts (DST) and tenant common structures to facilitate the like-kind exchange process.  Ed is co-leader of Polsinelli's DST working group and has advised various real estate companies on the use of the Delaware Statutory Trusts structure to raise co-investment capital. Ed also has significant experience in advising both existing owners and equity providers in connection with the tax and structural issues that arise in the case of distressed real estate.  Ed also regularly works with members of Polsinelli's Corporate and Transactional practice in providing advice and counsel to clients in connection with mergers and acquisitions of privately owned businesses.  He has represented both private equity funds and strategic buyers in both asset sale and stock sales and the use of limited liability companies (LLC) to facilitate tax-free rollovers of management equity.  Ed has significant experience in drafting and negotiating tax representations and tax sharing provisions in stock purchase agreements, membership interest purchase agreements and asset purchase agreements involving U.S.-based businesses. In addition to working with clients, Ed is a frequent panelist on webinars and symposiums on tax planning for real estate transactions.  He has been a member of the adjunct faculty at DePaul University Graduate School of Business in its MBA program.

Geoffrey Brown, President & CEO, Illinois CPA Society

Geoffrey 'Geof' Brown, CAE, is president and CEO of the Illinois CPA Society (ICPAS), one of the largest state CPA societies in the nation. Brown also serves as president and CEO of CPAs for the Public Interest and ex-officio board member of the CPA Endowment Fund of Illinois.
 
A seasoned certified association executive (CAE), Brown has more than 20 years of experience as an association professional. Before joining ICPAS in 2022, he served as CEO of the National Association of Personal Financial Advisors (NAPFA), the nation's leading professional association of fee-only financial advisors, for nine years. Prior to NAPFA, Brown was an account executive with Sentergroup, an association manager at SmithBucklin Corporation, and held multiple positions with North-American Interfraternity Conference.
 
Brown served as the board chair for Association Forum and is an active member. He is also an active member in the American Society of Association Executives and is a board member for the AIDS Foundation of Chicago and the Association of Fraternal Leadership & Values. Brown earned his bachelor's degree in government and politics from the University of Maryland.

John Hoffman, Founder and President

As the President and Founder of Bracket Partners, LLC, John’s mission is working with clients to maximize tax incentives related to real estate, renewable energy, and other fixed assets.  In an advisory role, John helps clients identify, implement, and monetize federal, state, and local incentives when clients are buying, building, expanding, renovating, relocating, and/or selling property.  John focus’ on tax credit and incentive areas such as historic redevelopment, renewable energy, affordable housing, new markets, and opportunity zones. John also works with clients to maximize cost recovery through tax deferral and savings strategies such as cost segregation, repairs and maintenance (tangible property) tax regulations, and energy incentives including 179D & 45L. John works directly with property owners, developers, tenants, business owners, investors, not for profits, and government entities. John also provides services indirectly through CPA firms as a trusted partner in various arrangements. His diverse work history includes over 20 years working at a variety of professional service firms, small to large, private and public. He also spent several years as a real estate development manager where he focused on senior and multifamily housing, retail, hotels and indoor waterparks. John is an active public speaker on topics related to real estate including tax incentive and cost recovery issues as well as energy and sustainability opportunities.  He is an active Certified Member and served as President of the ASCSP (“American Society of Cost Segregation Professionals”). He is a member of Landmarks Illinois and serves on the Real Estate and Building Industries Council. He is a Board of Advisor member for the James A. Graaskamp Center for Real Estate affiliated with the University of Wisconsin - Madison. He is also a licensed CPA in Illinois.

Lyle Prempas, Manager

Lyle Prempas is a CPA and a senior manager at Baker Tilly in the Construction and Real Estate tax group. Lyle has more than 15 years of experience in the Chicagoland market and assists clients with tax compliance including capital account maintenance, debt allocations, income/loss allocations and liquidity events. In addition, he consults with business owners regarding organizational structuring to achieve tax efficiency, reviews operating agreements to ensure desired goals are met and works with management advising on day-to-day operations to enhance cash flow management, maintain internal controls and streamline accounting functions.

Marius Andreasen, Principal

Marius Andreasen serves as a partner in PwC's Financial Markets Real Estate Group. Marius has 25 years of cross-discipline real estate and business valuation experience, having provided advisory services covering more than $160 billion in transactions. Marius has a broad market perspective, working with clients and investors covering a wide variety of assets and transactions across the capital structure in conjunction with real estate portfolio and joint-venture valuations, fair value measurement, lease accounting, M&A due diligence support, strategic planning, asset impairment studies, feasibility studies, highest and best use analysis, financing, litigation support, sale-leasebacks, fresh start accounting, estate planning, and valuations of fractional/minority interests in real estate holding companies, joint ventures and partnerships, real estate-related going concern enterprises and REITs, as well as CMBS loan originators.  Marius is a Chartered Financial Analyst (CFA), a designated member (MAI) of the Appraisal Institute, an Accredited Senior Appraiser (ASA) with the American Society of Appraisers, and a graduate of the University of Illinois Gies College of Business, with a B.S. Finance and Land Economics, and M.S. Accounting with a Data Science concentration.  He is a contributing editor to the Appraisal of Real Estate textbook (14th & 15th ed.), a guest lecturer at the University of Illinois and University of San Diego, serves as a Subject Matter Expert to the Appraisal Foundation National Appraiser Qualifications Board (AQB), and is a licensed Certified General Appraiser in forty states across the U.S.
